Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you”) and Hiatys Systems Ltd. (“Hiatys,” “we,” “us”), a corporation incorporated in the Province of Ontario, Canada.

By accessing or using any of our products, websites, or services (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Services

Hiatys operates software-as-a-service products for independent professionals. Our current products include:

  • Photography on Hiatys — A toolkit for freelance photographers, including pricing calculators, quote generation, delivery tracking, and license management.
  • Design on Hiatys — A client workflow tool for graphic designers, including intake forms, proposals, contracts, and invoicing.
  • Branding on Hiatys — Interactive brand guidelines for designers and their clients.
  • Training on Hiatys — Fitness business management for personal trainers and coaches.

We may add, modify, or discontinue products at any time. We will provide reasonable notice before discontinuing any paid product.

3. Accounts

Some Services require you to create an account. You agree to:

  • Provide accurate and complete registration information.
  • Maintain the security of your account credentials.
  • Notify us immediately of any unauthorized use of your account.
  • Accept responsibility for all activity that occurs under your account.

We may suspend or terminate accounts that violate these Terms or that remain inactive for an extended period.

4. Payments and Subscriptions

Certain Services are offered on a paid subscription basis. Payments are processed by Stripe, Inc. By subscribing, you agree to:

  • Pay the applicable subscription fees as displayed at the time of purchase.
  • Authorize recurring charges to your payment method on a monthly or annual basis, depending on your selected plan.
  • Provide valid and current payment information.

Cancellation: You may cancel your subscription at any time through your account settings or via the Stripe Customer Portal. Cancellation takes effect at the end of your current billing period. No prorated refunds are provided for partial periods.

Price changes: We may change subscription prices with at least 30 days' notice. Continued use after a price change constitutes acceptance of the new price.

5. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Attempt to gain unauthorized access to any part of the Services or related systems.
  • Upload or transmit viruses, malware, or other harmful code.
  • Use the Services to send unsolicited communications (spam).
  • Reverse-engineer, decompile, or disassemble any part of the Services.
  • Resell, sublicense, or redistribute the Services without our written consent.

6. Intellectual Property

The Services, including all software, designs, text, graphics, and other content provided by Hiatys, are owned by Hiatys Systems Ltd. and are protected by Canadian and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. This license does not include the right to modify, distribute, or create derivative works from the Services.

7. User Content and Data

You retain ownership of all data, content, and materials you submit to the Services (“User Content”). By using the Services, you grant us a limited license to store, process, and display your User Content solely for the purpose of providing the Services to you.

We do not claim ownership of your User Content. We will not sell, share, or use your User Content for purposes unrelated to providing the Services, except as required by law.

You represent that you have obtained any necessary consent from individuals whose personal information you submit through the Service, including consent for such information to be processed by our systems and third-party service providers for the purpose of delivering Service features.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Hiatys Systems Ltd., its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Services.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amounts paid by you to Hiatys in the twelve (12) months preceding the event giving rise to the claim.

9. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected. You use the Services at your own risk.

10. Termination and Data Export

Either party may terminate this agreement at any time. You may stop using the Services and close your account at any time.

We may suspend or terminate your access to the Services if you violate these Terms, if required by law, or if we discontinue the Services.

You may download a complete copy of your data at any time from your account settings before deleting your account. Upon account deletion, all account data, user content, and associated files are deleted immediately and permanently. This action cannot be undone. We recommend exporting your data before deleting your account. Payment records held by Stripe are retained as required by tax and financial law.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

12. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may submit the dispute to the courts of the Province of Ontario, Canada.

13. Modifications

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the “Effective date” at the top of this page. We may also notify you by email for significant changes.

Your continued use of the Services after any changes constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
